Octopii Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Octopii mobile application, website, and related services (collectively, the “Service”), owned and operated by Octopii LLC (“Octopii,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service. By using Octopii, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

2. Account Registration and Security

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information

  • Maintain the security of your account and credentials

  • Accept responsibility for all activity that occurs under your account

Octopii uses SMS-based one-time passcodes (OTPs) to authenticate and secure accounts. By creating an account, you consent to receiving transactional and security-related SMS messages. These messages are not marketing communications.

We reserve the right to suspend or terminate accounts in accordance with these Terms for activity that violates our policies, applicable law, or threatens the integrity or safety of the Service.

3. User Content

Ownership and License

You retain ownership of the content you submit, post, or share through the Service (“User Content”).

By submitting User Content, you grant Octopii a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, modify, display, and distribute such content solely for the purpose of operating, improving, securing, and providing the Service.

This license ends when your User Content is deleted, except where retention is required by law or for legitimate business purposes such as backups, legal compliance, or dispute resolution.

Prohibited Content

You are solely responsible for your User Content. You agree not to create, upload, post, transmit, or distribute content that violates these Terms.

The following content is strictly prohibited:

Sexually Explicit Content

  • Pornography, nudity, or sexually explicit material

  • Content depicting sexual acts, exploitation, or sexual violence

  • Content intended to arouse sexual interest

Violent or Graphic Content

  • Depictions of violence, injury, or gore

  • Content promoting or encouraging self-harm or suicide

  • Graphic or disturbing imagery

  • Cruelty to animals

Hate Speech and Harassment

  • Content that attacks, threatens, or dehumanizes individuals or groups based on race, ethnicity, nationality, religion, gender, sexual orientation, disability, or other protected characteristics

  • Bullying, harassment, or malicious targeted attacks

Illegal Activities and Regulated Goods

  • Promotion or facilitation of illegal activities

  • Terrorist content or propaganda

  • Promotion of drug abuse or illegal drugs

  • Illegal gambling

  • Sale or promotion of weapons or prohibited goods

Misinformation and Misrepresentation

  • Deliberately false or misleading information intended to deceive

  • Fake news presented as fact

  • Deepfakes or manipulated media that misrepresent real people without disclosure

Spam and Intellectual Property Violations

  • Unsolicited messages, scams, phishing, or deceptive practices

  • Posting copyrighted content without authorization

  • Repetitive or automated spam

Objectionable Content

  • Any content Octopii deems, in its sole discretion, offensive, harmful, misleading, or inappropriate for a general audience

Reporting, Moderation, and Enforcement

Any user, post, comment, or message may be reported through the Service. All reports are reviewed by the Octopii content moderation team.

Octopii may take action based on user reports, automated signals, or internal review.

Account Enforcement and Termination

Octopii may suspend or permanently terminate any account at any time, with or without notice, if we determine, in our sole discretion, that a user has:

  • Violated these Terms or applicable law

  • Posted or shared prohibited content

  • Engaged in abusive, harmful, deceptive, or unsafe behavior

  • Repeatedly submitted content that is removed or restricted

  • Infringed intellectual property rights

  • Posed a risk to other users, Octopii, or the integrity of the Service

Enforcement actions are based on violations of these Terms, applicable law, or actions that threaten the safety or integrity of the Service.

Octopii is not required to provide warnings, additional chances, or an appeal process prior to suspension or termination.

Repeat Infringer Policy

In accordance with applicable law, including the Digital Millennium Copyright Act (DMCA), Octopii maintains a policy for addressing repeat infringers. Users who repeatedly submit infringing or otherwise prohibited content may have their accounts terminated in Octopii’s sole discretion.

Enforcement Discretion

Octopii does not pre-screen all User Content and does not guarantee that all violations will be identified or addressed. Enforcement decisions are made at Octopii’s sole discretion.

Nothing in these Terms creates an obligation to monitor content or provide continued access to the Service.

4. Public and Private Features

Public posts may be visible to other users or the public, depending on your settings.

Private posts and private messages are intended only for designated recipients. Octopii does not routinely monitor private content but may access it when reasonably necessary to comply with legal obligations, enforce these Terms, or protect users or the Service.

5. Acceptable Use

You agree not to:

  • Use the Service for unlawful purposes

  • Attempt unauthorized access to accounts or systems

  • Interfere with or disrupt the Service

  • Reverse engineer, scrape, or misuse the Service

  • Use automated systems without authorization

6. Location-Based Features

Certain features rely on location data. By enabling location permissions, you consent to the collection and use of location information as described in our Privacy Policy. Disabling location access may limit functionality.

7. Advertising and Service Changes

Octopii does not currently display advertisements. We reserve the right to introduce advertising, subscriptions, or other monetization features in the future. Material changes will be communicated as required by law.

8. Termination

You may stop using the Service at any time. Upon termination, your right to access the Service immediately ceases. Sections that by their nature should survive termination will survive.

9. Intellectual Property

All rights, title, and interest in the Service (excluding User Content) are owned by Octopii LLC. You may not use Octopii’s trademarks, branding, or logos without prior written permission.

10. DMCA Copyright Policy

Octopii complies with the Digital Millennium Copyright Act (DMCA).

To submit a copyright infringement notice, you must provide:

  1. Your physical or electronic signature

  2. Identification of the copyrighted work

  3. Identification of the infringing material

  4. Your contact information

  5. A statement of good-faith belief

  6. A statement under penalty of perjury

11. Law Enforcement and Legal Process

Octopii respects user privacy and does not proactively monitor private content. However, we may access, preserve, and disclose information when we believe in good faith that such action is necessary to:

  • Comply with applicable law, regulation, or legal process

  • Enforce these Terms or our Privacy Policy

  • Respond to subpoenas, court orders, or lawful government requests

  • Protect the rights, safety, or property of Octopii, our users, or others

  • Prevent fraud, security threats, or harm

Any disclosure will be made in accordance with our Privacy Policy and applicable data protection laws, including GDPR, CCPA, and CPRA, and limited to what we reasonably believe is necessary for the stated purpose.

Where legally permitted, Octopii may provide notice to users regarding such disclosures.

Nothing in these Terms creates an obligation for Octopii to monitor user activity or disclose information absent a valid legal basis.

12. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, Octopii disclaims all warranties, express or implied.

13. Limitation of Liability

To the fullest extent permitted by law, Octopii LLC will not be liable for indirect, incidental, consequential, special, or punitive damages. Octopii’s total liability will not exceed $100 USD or the amount you paid in the past 12 months, whichever is greater.

14. Indemnification

You agree to indemnify and hold harmless Octopii LLC from claims arising from your use of the Service, your User Content, or your violation of these Terms.

15. Arbitration and Class Action Waiver

All disputes arising out of or relating to these Terms or the Service shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA). You waive any right to participate in class, collective, or representative actions.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

17. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance.
